Confidentiality & Non-Disclosure Agreement

This Confidentiality & Non-Disclosure Agreement applies to confidential, proprietary, private, educational, training, creative, research, business, client, practitioner, and other non-public information disclosed through Enlumnia® services, classes, programs, trainings, consultations, sessions, communications, events, materials, online platforms, recordings, documents, demonstrations, or related activities.

By participating in an activity for which this Agreement is required, you agree to protect Enlumnia Confidential Information and to use it only for the purpose for which access was provided.

Confidential Information

Confidential Information includes non-public information learned, received, observed, accessed, discussed, demonstrated, provided, or created in connection with Enlumnia, including:

Methods, techniques, processes, practices, exercises, protocols, systems, concepts, and procedures
Classes, training materials, course content, manuals, worksheets, presentations, videos, recordings, demonstrations, exercises, and educational materials
Proprietary or developing Enlumnia modalities, programs, services, methods, products, technologies, research, and concepts
Business plans, marketing information, pricing strategies, operational procedures, financial information, internal processes, and strategic information
Unpublished written, audio, video, artistic, educational, media, and creative materials
Private communications, discussions, meetings, consultations, sessions, demonstrations, and collaborations
Client, student, practitioner, instructor, collaborator, contractor, or participant information that is not publicly available
Information identified as confidential or that a reasonable person would understand to be confidential under the circumstances

Confidentiality Obligations

You agree that Confidential Information will not be disclosed, shared, copied, reproduced, distributed, published, posted, uploaded, transmitted, recorded, taught, demonstrated, sold, licensed, marketed, commercially exploited, or otherwise provided to another person or organization without prior written authorization from Enlumnia.

You agree not to use Confidential Information to create, teach, market, sell, distribute, license, reproduce, or commercially exploit a substantially copied or unauthorized derivative service, class, training, program, method, product, publication, recording, technology, or other offering.

You agree to take reasonable steps to protect Confidential Information from unauthorized access, disclosure, copying, distribution, or use.

Personal and Client Information

Information shared by clients, students, participants, practitioners, instructors, or collaborators during Enlumnia activities can be private and sensitive.

You agree not to disclose personally identifying, private, confidential, or sensitive information learned about another participant unless that person or Enlumnia has expressly authorized the disclosure or disclosure is legally required.

Permitted Use

Confidential Information may be used only for the Enlumnia service, class, program, training, consultation, project, collaboration, or other activity for which access was provided.

Participation in an Enlumnia activity does not grant permission to reproduce, teach, distribute, publish, sell, license, or commercially use Enlumnia materials or methods.

Information Not Covered

Confidential Information does not include information that can be demonstrated to:

Have been lawfully known before disclosure by Enlumnia
Become publicly available without violation of this Agreement
Be lawfully obtained from another source without a confidentiality obligation
Be independently developed without use of Enlumnia Confidential Information
Be expressly released by Enlumnia for unrestricted public use

Intellectual Property

All applicable copyrights, trademarks, trade secrets, proprietary methods, educational materials, recordings, written materials, creative works, systems, processes, technologies, and other intellectual property remain the property of their respective owners.

Nothing in this Agreement transfers ownership of Enlumnia intellectual property.

Enlumnia® is a registered trademark of Kevin Foresman.

Required Legal Disclosure

If disclosure of Confidential Information is required by applicable law, subpoena, court order, or other legal process, only the information legally required should be disclosed.

When legally permitted, Enlumnia should be notified promptly so that appropriate protective action can be considered.

Duration

The obligations under this Agreement continue for as long as the information remains confidential, proprietary, private, or otherwise legally protected.

Remedies

Unauthorized disclosure or use of Confidential Information can cause substantial harm.

To the fullest extent permitted by law, Enlumnia retains the right to pursue available legal and equitable remedies for actual or threatened unauthorized disclosure or use.

Electronic Acceptance

This Agreement may be accepted electronically.

Checking an agreement box, electronically signing, signing a printed copy, or otherwise affirmatively accepting this Agreement constitutes acknowledgment that you have read, understood, and agreed to its terms.
